The aim of this research is to build a conceptual and methodological framework for studying strategic representations and discourses and apply it to the environment industry. The first part is based on a critique of cognitive approaches in strategic management. It shows that these approaches do take into account the role of social interactions in generating cognition, however, they fail short in studying the social embeddedness of strategic representations due to methodological weaknesses. A new conceptual and methodological framework, based on the concept of "social representations" and driven from social psychology, is then suggested. The second part puts forward a three-step protocol for studying the social embeddeness of strategic representations. It provides techniques to identify the social determining (anchoring) of discourse and to generate data through conversational interactions. An interpretative grid is built when implementing the three-step protocol in the environment industry. This grid is used to ease the interpretation of strategic discourses and the identification of strategic representations. Three types of anchoring are studied. first, the ideological anchoring deals with the way to resolve the opposition between ecological an economical views ; second, the practical anchoring deals with the production and maintenance of the different types of organisational rules of control. Third, the social and historical anchoring refers to the construction of the environment as a category. Four interpretative repertoires are identified depending on the type of customer (industry vs. local communities) and on the type of supply (market vs. legal constraint). This way of doing research is based on viewing social life as the struggle for the legitimate public interpretation. It enables to study strategies through strategic discourses and the representations they are producing and reproducing

In this dissertation, I investigate how structural position and social attributes at the top of the corporation impact on corporate outcomes, in a sample of large French companies, during the 1993-2005 period of time. In particular, the findings indicate that an agency problem exists in large French corporations in that the CEO will tend to use the firm's financial resources to fund unrelated and risk-driven diversification projects, which are potentially non-value creating. Incentives' alignment governance devices are, in general, ineffective in successfully dealing with the agency problem. Board of directors' monitoring is effective in reducing the agency problem if the proportion of executive outside directors is minimized. Moreover, controlling for firm performance, an increase in the firm's level of portfolio unrelatedness increase the likelihood that the board will dismiss the CEO. On the contrary, an increase in the firm's level of portfolio relatedness decrease the likelihood that the board will dismiss the CEO. However, when the CEO has finance/legal experience, and when outside directors who have on-going experience as CEOs in other companies sit on the firm's board, the likelihood that the board will dismiss the CEO under conditions of increasing portfolio unrelatedness will be altered. Furthermore, the empirical evidence points out that governance processes, such as the replacement of the CEO, when routinized, imply decreased board monitoring and greater discretion for the CEO to implement strategies viewed as self-serving and shareholder value-reducing, namely further unrelated diversification. In this context, the new CEO's social capital impacts on the firm's post-succession strategic direction: When the new CEO occupies a central position in the inter-board network, s/he will further increase the positive effect of routine succession on unrelated diversification strategy. On the contrary, the new CEO's socialization in elite circles alters the effect of routine succession on unrelated diversification strategy, and leads to corporate strategic refocusing. Thus, it may constitute an appropriate factor to deal with the agency problem

[Résumé en français] Le concept de confiance mis en valeur depuis plus de quarante ans par les sciences sociales apparaît depuis peu, à travers l'observation réelle des échanges marchands, comme un facteur clef de l'équilibre de ces échanges. Bien que rejeté par certains économistes, ce concept fait l'objet de débats de plus en plus nombreux en économie et en gestion, ces débats empruntant par petites touches des thèmes issus de la sociologie, de la psychologie ou encore de la psychosociologie. Ce travail de thèse est l'occasion d'approfondir ces nouvelles voies de recherche. Les deux premiers chapitres font un tour d'horizon des travaux qui ont été réalisés sur le thème de la confiance en sciences sociales, économiques et de gestion. Ils permettent de présenter l'intérêt d'étudier le concept de confiance par le biais des représentations sociales. Le troisième chapitre présente les supports méthodologiques qui ont inspiré la méthodologie utilisée lors de la phase d'enquête. Il met notamment en relief les méthodes d'analyse de discours de Grize & al et de Windisch qui croisent la forme du discours avec son contenu et qui permettent d'accéder aux représentations par le langage. Les deux derniers chapitres décrivent la méthodologie construite pour ce travail de recherche ainsi que l'analyse des dix entretiens semi-directifs réalisés dans le secteur de la sidérurgie. La relation client-fournisseur est choisie comme approche du terrain. Les résultats de l'enquête permettent de conclure que la conceptualisation de la notion de confiance dans l'échange marchand dépend des représentations sociales que les individus construisent au sujet des interactions dans lesquels il s'engagent et des sujets avec lesquels ils interagissent. La tentative de conceptualisation de la confiance que chaque individu entreprend est par ailleurs portée par différentes idéologies qui orientent leur discours
