Abstract:

A board's culture consists of a combination of formal and informal rules, agreements, and traditions that have developed slowly and unconsciously over time. Culture determines who makes the decisions, who speaks to whom and in what manner, how board and staff members relate to each other, and even where board members sit at the board table. Culture also drives decisions about what role the chief executive has in board meetings, where the board invests the lion's share of its time and what issures are considered sacred cows.
